OVERVIEW
Welcome to Posy & Plan! The terms "we", "us" and "our" refer to Posy & Plan. Posy & Plan operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the "Services"). Posy & Plan is powered by Shopify, which enables us to provide the Services to you.

The terms and conditions below, together with any policies referred to in them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully. They include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability. Nothing in these Terms affects your statutory rights as a consumer.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy (posyandplan.co.uk/policies/privacy-policy). If you do not agree to these Terms of Service or the Privacy Policy, you should not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you confirm that you are at least 18 years old.

To use the Services, including browsing our online store or buying any of the products we offer, you may be asked for certain information, such as your email address and billing and payment details. You confirm that all the information you provide is correct, current and complete, and that you have the right to provide it.

You are responsible for keeping your account details secure and for all activity on your account. You may not transfer, sell, assign or license your account to any other person.

SECTION 2 - OUR PRODUCTS
Our products are digital: Google Sheets planner templates, printable PDFs and Canva templates. We have made every effort to show our products accurately. Colours and appearance may vary slightly depending on your device, screen and printer settings. Screenshots on our website show sample data; your copy starts blank.

To use the planner you need a free Google account. To edit the Canva binder template you need a free Canva account. You are responsible for having a suitable device and internet connection.

We may change product descriptions at any time. We may discontinue any product at any time and may limit the quantities of any product we offer to any person, region or jurisdiction, on a case-by-case basis.

SECTION 3 - ORDERS
When you place an order, you are making an offer to buy. Posy & Plan may accept or decline your order at its discretion. Your order is not accepted until we confirm it, and we must receive your payment before your order is accepted. If we decline, change or cancel an order, we will try to let you know using the email address or billing details you gave when you ordered.

You confirm that your purchases are for your own personal use and not for commercial resale.

SECTION 4 - PRICES AND BILLING
Prices are shown in pounds sterling (GBP). Prices, discounts and promotions may change without notice, but the price you pay is the price shown when you place your order, as set out in your order confirmation email. We are not VAT registered, so no VAT is added to our prices.

We may run promotions from time to time, which may have their own terms. If a promotion's terms conflict with these Terms, the promotion's terms apply.

You agree to provide current, complete and accurate payment and account information for all purchases, and to keep it up to date so we can complete your order and contact you if needed. You confirm that (i) the payment card details you provide are true, correct and complete, (ii) you are authorised to use that card, and (iii) you will pay the charges you incur at the posted prices.

SECTION 5 - DIGITAL DELIVERY
All our products are delivered digitally. Nothing is posted. After payment, you will get access to your files on the order confirmation page and by email. If you have not received your email within an hour, please check your spam folder or contact us at hello@posyandplan.co.uk. We are not responsible for delays caused by your email provider or other events outside our control.

SECTION 6 - INTELLECTUAL PROPERTY AND YOUR LICENCE
Our Services and products, including all text, designs, templates, spreadsheets, images, graphics and the arrangement of them, are owned by Posy & Plan or its licensors and are protected by UK and international copyright and other intellectual property laws.

When you buy a product, we give you a personal, non-transferable licence to use it for your own wedding planning. You may make copies for your own use and print the binder for yourself. You must not share, resell, redistribute, publish or give away the products, the planner links or the template links, in whole or in part, or use them to create products for sale.

Except as set out in these Terms, nothing gives you a licence or other rights to any intellectual property of Posy & Plan, Shopify or any third party. All rights not expressly granted are reserved.

The Posy & Plan name, logo, product names, designs and slogans belong to Posy & Plan. You must not use them without our written permission. Shopify's name, logo and related marks belong to Shopify. All other names and marks on the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS
You may be given access to tools provided by third parties (such as Google Sheets and Canva) which we do not control. These tools are provided "as is" and "as available" by their providers, and their own terms apply. We are not responsible for the availability or operation of third-party tools.

We may add new features to the Services in future. These will also be covered by these Terms.

SECTION 8 - THIRD-PARTY LINKS
The Services may contain links to websites run by third parties. We are not responsible for the content or accuracy of third-party websites. If you visit them, you do so at your own risk, and you should read their policies before using them.

SECTION 9 - RELATIONSHIP WITH SHOPIFY
Posy & Plan is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Posy & Plan. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Posy & Plan, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Posy & Plan.

SECTION 10 - PRIVACY POLICY
All personal information we collect through the Services is covered by our Privacy Policy (posyandplan.co.uk/policies/privacy-policy). Some personal information may also be covered by Shopify's Privacy Policy. Because the Services are hosted by Shopify, Shopify collects and processes personal information about your use of the Services in order to provide and improve them. Please read our Privacy Policy for more details.

SECTION 11 - FEEDBACK AND REVIEWS
If you send us ideas, suggestions, feedback or reviews ("Feedback"), you give us a worldwide, royalty-free licence to use, reproduce, publish and display that Feedback, including to promote our products. We will only publish genuine reviews, and we may remove Feedback that is unlawful, offensive or breaks these Terms.

You confirm that your Feedback is your own and honest, that you have disclosed any incentive you received for it, and that it does not infringe anyone else's rights.

SECTION 12 - ERRORS AND OMISSIONS
Occasionally, information on the Services may contain typing errors, inaccuracies or omissions, including in product descriptions or pricing. We may correct any errors and update information. If a pricing error affects your order, we will contact you before going ahead, and you may cancel for a full refund.

SECTION 13 - PROHIBITED USES
You may use the Services for lawful purposes only. You must not: (a) use the Services for any unlawful or malicious purpose; (b) infringe our intellectual property or anyone else's; (c) harass, abuse or harm any person; (d) send false or misleading information; (e) send spam or unsolicited advertising; (f) impersonate any person; (g) upload viruses or malicious code; (h) copy, resell or exploit any part of the Services or our products; (i) collect other people's personal information; (j) use robots, scrapers or other automated tools to access the Services; or (k) bypass any security features. We may suspend or end your access if you break these Terms.

SECTION 14 - AGENTS
14.1 This section ("Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using a person's device, without direct supervision.
14.2 No Agent may access, use, or interact with Services unless, at all times, it identifies itself and operates in strict accordance with the requirements in section 14.4 below. In addition, no Agent may access, use, or interact with Services if we have requested that the Agent refrain from accessing, using, or interacting with any service.
14.3 We may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with Services.
14.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request's user agent string: "Agent/[agent name]"; (ii) not conceal or obfuscate that any access, use, or interactions are from an Agent, such as by (a) mimicking human behavior and interaction patterns, or (b) completing or circumventing CAPTCHAs or measures intended to distinguish computer use from humans; (iii) respond truthfully to any question or prompt seeking to determine if interactions are coming from a human or a computer; (iv) not circumvent or otherwise avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.

SECTION 15 - TERMINATION
We may end these Terms or your access to the Services at any time if you break them. Any sections which by their nature should continue (including Intellectual Property, Feedback, Limitation of Liability and Governing Law) will continue to apply after termination.

SECTION 16 - DISCLAIMER
Our planner includes general guidance, such as typical UK wedding costs and legal timings. This is general information, not legal or financial advice. Rules and fees can change, so always check with your local register office or the official government website.

Except as set out in these Terms, and so far as the law allows, the Services are provided "as is" and "as available". We do not guarantee that the Services will be uninterrupted or error-free. Nothing in these Terms affects your statutory rights as a consumer, including your right to digital content that is of satisfactory quality, fit for purpose and as described under the Consumer Rights Act 2015.

SECTION 17 - LIMITATION OF LIABILITY
So far as the law allows, Posy & Plan is not liable for any indirect or consequential loss, or for any loss of profit, revenue or data, arising from your use of the Services or our products. Our total liability to you for any order is limited to the price you paid for it.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

SECTION 18 - INDEMNIFICATION
You agree to compensate Posy & Plan for any losses or claims made by third parties that arise from your breach of these Terms, including sharing or reselling our products, or your breach of any law or the rights of others.

SECTION 19 - SEVERABILITY
If any part of these Terms is found to be unlawful or unenforceable, that part will be treated as removed, and the rest of the Terms will continue to apply.

SECTION 20 - WAIVER; ENTIRE AGREEMENT
If we do not enforce any right or part of these Terms, that does not mean we give up that right. These Terms, together with the policies on our website, are the whole agreement between you and us about your use of the Services.

SECTION 21 - ASSIGNMENT
You may not transfer your rights or obligations under these Terms without our written consent. We may transfer our rights and obligations to another business, and we will make sure this does not reduce your rights.

SECTION 22 - GOVERNING LAW
These Terms are governed by the law of Northern Ireland. If you live elsewhere in the UK, you may bring proceedings in the courts of the part of the UK where you live, and you keep the protection of any mandatory consumer laws that apply where you live.

The headings in these Terms are for convenience only and do not affect their meaning.

SECTION 24 - CHANGES TO THESE TERMS
You can read the latest version of these Terms at any time on this page. We may update these Terms from time to time. The Terms in force when you place an order apply to that order.
